Terms

Effective 29 October 2026. These terms apply unless a signed order form or other written agreement with AiroX says otherwise. In that case, the signed agreement takes priority where the documents conflict.

01

By accessing the website, creating an account or using AiroX, you agree to these Terms of Service. If you use AiroX for an organisation, you confirm that you have authority to accept these terms for that organisation. If you do not agree, do not use the service.

02

AiroX is carbon accounting and climate-disclosure software. It helps organisations collect activity data, calculate Scope 1, 2 and 3 emissions, manage review and approval workflows, maintain evidence and prepare SLFRS S2-structured information.

AiroX is a record-keeping and calculation tool. It does not provide legal, accounting, audit, assurance or investment advice, does not certify regulatory compliance and does not replace professional judgement. You remain responsible for reporting boundaries, source data, assumptions, disclosures and any assurance or filing requirement.

03

Access to an organisation's data is granted through membership on its organisational tree with the role of Owner, Admin, Member or Viewer. Customer administrators decide which users may access each part of that tree and are responsible for reviewing access regularly.

You must provide accurate account information, protect your credentials, use your own account and notify us promptly if you suspect unauthorised access. You are responsible for activity performed through accounts under your control unless caused by AiroX's breach of these terms.

04

You retain ownership of data submitted to AiroX. You grant us the limited right to host, copy, process, transmit and display that data only as needed to provide, secure and support the service, comply with law and follow your authorised instructions.

You confirm that you have the rights and permissions needed to submit customer data, including personal information and third-party evidence. Separate customers' workspaces remain isolated. We do not use one customer's private workspace data to train models for other customers.

05

You must not use AiroX unlawfully; submit malicious, infringing or deceptive material; attempt to bypass access controls, rate limits or security; probe or disrupt the service; reverse engineer it except where law expressly permits; resell access without written approval; or access another customer's workspace without authorisation.

You must not use generated outputs as a substitute for checking source data and professional requirements. We may investigate suspected misuse and take proportionate steps to protect the service and its users.

06

The plan, subscription term, included usage, fees, billing schedule and payment terms are set out in the applicable order form, checkout flow or invoice. Website pricing is indicative until an order is accepted. Fees exclude taxes unless stated otherwise, and the customer is responsible for applicable taxes other than taxes on our income.

You must pay undisputed charges when due and keep billing details current. Renewal, cancellation, plan changes and refund eligibility follow the applicable order form and our Return, Refund and Cancellation Policy.

07

AiroX may interoperate with third-party hosting, authentication, payment, email or other services. Your use of a third-party service may be subject to that provider's terms. We are not responsible for third-party products or for interruptions outside our reasonable control, but we remain responsible for selecting and managing our service providers as required by our agreements and applicable law.

08

AiroX, its software, designs, documentation, branding and underlying technology are owned by us or our licensors. Subject to payment and compliance with these terms, we grant the customer a limited, non-exclusive, non-transferable right for authorised users to use the service during the subscription term for the customer's internal business purposes.

If you provide feedback, you allow us to use it without restriction or payment, provided we do not identify you or disclose confidential customer data without permission.

09

Each party must protect the other's non-public business, technical and commercial information using reasonable care and use it only to perform or receive the service. This duty does not apply to information that is public through no breach, already lawfully known, independently developed or lawfully received from another source.

We maintain safeguards designed to protect customer data. You remain responsible for user access, endpoint security, source-data quality and secure use of exported files.

10

We aim to keep AiroX available and useful, but maintenance, security events, provider failures and circumstances outside our reasonable control may interrupt access. We may improve or change features over time. We will not materially reduce paid core functionality during a current subscription term without reasonable notice, except where needed for security, law or third-party dependencies.

11

We may suspend access where necessary to address a security risk, unlawful use, material breach or overdue undisputed payment. Where practical, we will provide notice and a reasonable opportunity to resolve the issue.

Either party may terminate as stated in the order form or if the other party materially breaches the agreement and does not remedy the breach within a reasonable period after notice. On termination, access ends and outstanding fees remain due. Data export and deletion follow the order form, Privacy Policy and applicable law.

12

We will provide the service with reasonable care and skill. Except for express commitments in these terms or an order form, and to the extent permitted by law, AiroX is provided on an as-available basis. We do not guarantee uninterrupted operation, that every error will be corrected, or that outputs will satisfy a particular reporting, assurance or regulatory requirement.

13

To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, loss of profit, revenue, goodwill or anticipated savings, or loss caused by data or instructions supplied by the customer. Nothing in these terms limits liability that cannot lawfully be limited or excluded.

Any agreed financial limit or additional allocation of risk is stated in the applicable order form. If no limit is stated there, the parties will apply the remedies and limits available under applicable law.

14

The order form identifies the contracting parties and any governing-law or dispute terms that apply. If a dispute arises, each party will first try in good faith to resolve it through authorised business representatives before starting formal proceedings, except where urgent relief is needed.

15

We may update these terms to reflect service, legal or operational changes. We will give reasonable notice before a material change applies to a current paid subscription unless an urgent security or legal change requires faster action. Continued use after the effective date of an update constitutes acceptance where permitted by law.

Questions about these terms should be submitted through the Contact page. These terms, the Privacy Policy, the Return, Refund and Cancellation Policy and the applicable order form form the agreement for the service, with the order form taking priority where they conflict.
